opei Service Agreement

1. The Service

opei provides a hosted software-as-a-service platform that lets real-estate professionals publish and manage a branded website, including listing display (subject to your own IDX/VOW board authorization), content pages, lead capture and related tools (the “Service”). We may update, improve or change features of the Service over time.

2. Subscriptions, Trial & Billing

• New accounts include a 30-day free trial. You will not be charged during the trial and may cancel before it ends at no cost.
• After the trial, your subscription renews automatically for successive billing periods (monthly, unless stated otherwise) at the then-current plan price, charged to your payment method on file.
• Payments are processed by our payment provider (Stripe). Prices are exclusive of applicable taxes, which may be added.
• Fees are non-refundable except where required by law or expressly stated in this Agreement.

3. Cancellation Policy

• You may cancel at any time from your account dashboard or by contacting support.
• Cancel during the free trial and you will never be billed.
• Cancel after billing begins and your subscription remains active until the end of the current paid period; it will not renew thereafter. We do not provide pro-rated refunds for partial periods unless required by law.
• We may suspend or terminate the Service for non-payment or material breach of this Agreement, with notice where practicable.
• On termination we will, for 30 days, make your content reasonably available for export before deletion (see Section 5).

4. Your Data & Privacy Protection

• “Customer Data” means the content, listings, contacts, leads and other information you or your site visitors submit to the Service.
• We process Customer Data only to provide and support the Service, and in accordance with our Privacy practices and applicable privacy laws (including Canada’s PIPEDA).
• We apply reasonable administrative, technical and physical safeguards to protect Customer Data against unauthorized access, loss or disclosure.
• We do not sell your Customer Data or the personal information of your leads.
• We use trusted sub-processors (e.g. hosting, email and payment providers) solely to deliver the Service, under confidentiality obligations.
• You are responsible for handling your leads’ and visitors’ personal information lawfully, including obtaining any consents your own use requires.

5. Ownership of Data

• You own your Customer Data. opei claims no ownership of your content, branding, listings or contacts.
• You grant opei a limited licence to host, process and display Customer Data solely to operate the Service for you.
• opei retains all rights to the Service software, platform, and any aggregated or de-identified analytics that do not identify you or your contacts.
• You may export your Customer Data at any time while your subscription is active, and for 30 days after termination, after which we may delete it.
• Listing data displayed on your site remains subject to the rules of the originating MLS/board and your own data-access authorization.

6. Acceptable Use

You agree not to use the Service to violate any law or MLS/board rule, infringe others’ rights, transmit harmful or unlawful content, or attempt to disrupt or gain unauthorized access to the Service. You are responsible for activity under your account and for keeping your credentials secure.

7. Warranty Disclaimer & Limitation of Liability

The Service is provided “as is” without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by law, opei’s total liability arising out of or relating to this Agreement will not exceed the fees you paid to opei in the twelve (12) months preceding the claim. opei is not liable for indirect, incidental or consequential damages.

8. Changes to this Agreement

We may update this Agreement from time to time. Material changes will be communicated by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.

9. Governing Law & Contact
